Handoff Program terms
Handoff Program terms
These terms apply to people who receive rewards as Handoffers or agents.
1. About these Terms
These Handoff Program Terms ("Terms") set the conditions for taking part in the Handoff Program. The Handoff Program is a performance-based (affiliate) program. It pays rewards based on purchases by customers who registered through a Handoffer's Handoff link or code.
These Terms are an agreement between you and the Operator and the Reseller you belong to (together, "we" or "us"). "Operator", "Reseller", "Member" and "consultation chat" have the same meaning as in the Terms of Service. The Terms of Service also apply to you. For anything about the Handoff Program, these Terms prevail where the two differ.
You accept these Terms electronically by ticking the consent box when you apply.
SECTION 27 REQUIRES DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND WAIVES CLASS ACTIONS AND JURY TRIALS. PLEASE READ IT.
These Terms are written in English. The Japanese version is a translation. If they differ, the English version prevails.
2. Eligibility and your status
You become a Handoffer when you apply. There is no approval step. If you have bought a class, you can join 30 days after your first purchase. You can register as a Handoffer with one Reseller only.
You must be 18 or older. You cannot join if your status was revoked before for violating these Terms or the Terms of Service, if your application contains false information, or if section 28 (sanctions, anti-corruption and antisocial forces) applies to you. If any of these comes to light later, we may revoke your status.
Joining and continuing are free. Buying a class or attending a seminar is never a condition for joining or for rewards.
You are an independent contractor. You are not our employee, agent, partner or joint venturer. You have no authority to sign contracts, make promises or accept applications on our behalf. You decide how you work and bear your own costs.
3. How to refer
You refer people by giving out your Handoff link, code or QR code, or by sharing your own experience.
The Reseller explains the class content, price and refund terms and accepts applications, through the site and the consultation chat. In the chat, a real person on the chat team explains and supports the purchase. You must not apply on a customer's behalf, take payments, promise discounts or refunds, or explain anything as if you were speaking for the Reseller or the Operator.
You act in your own name. You alone are responsible for what you say and do. Your statements are not ours and do not bind us (as section 3 of the Terms of Service says, Handoffers are not agents of the Reseller or the Operator).
You may freely invite others to join the Handoff Program. You may tell them that joining is free and that rewards are paid on purchases by customers they pass to us. When you do, follow section 5: do not promise income, and do not suggest that recruiting more people earns more.
3-2. Explained-sale links
When you explain a class to a customer in person, by phone or by video call, always give that customer the "explained-sale link" for the class you explained (created under "Explained-sale link" in the Handoffer app). You must not give it to anyone you did not explain to. A link works for one person only, once, and can be opened to sign up for 14 days after it is issued.
If you sell after explaining without using the link, or give the link to someone you did not explain to, your share of that order can be cancelled (automatically when it is refunded), deducted from your next rewards if already paid, and your Handoffer status can be suspended on the second time.
4. The "#Promotion" label
While registered as a Handoffer, whenever you post about the classes, the Service or the Reseller, place "#Promotion" ("#プロモーション" in Japanese) at the very start of the post where it can be seen at once, wherever you post (blogs, social media, videos, messages and so on) and whether or not the post has a Handoff link. In videos, show it on screen at the beginning.
You may not bury it among other hashtags, put it at the end or behind "read more", or make it small or hard to distinguish from the background.
This label is in addition to any disclosure the law where you post requires (section 8).
5. Rules for posts
In your posts you must not:
(1) promise or guarantee income or results ("guaranteed to earn", "anyone can", "instantly", "passive" and so on), promise specific amounts, or exaggerate earnings;
(2) say anything untrue or exaggerated, or use unsupported figures or claims such as "the best";
(3) use made-up testimonials or reviews, or present someone else's results as your own;
(4) state an amount of money without saying how it was earned (Handoffer rewards, or sales of your own work or business using what you learned). You may not blur the source, as in "I make $X a month with this business". When you state an amount, make clear that it is your own result and does not promise the same result;
(5) suggest that inviting more people or recruiting more Handoffers earns more (this is untrue: the program has one level only, and there is no reward for recruiting);
(6) pretend to be the Reseller, the Operator or an official account, use their names or logos other than as permitted under section 9, or run search ads on keywords containing their names;
(7) suggest a partnership with or supervision by a university, company, celebrity or the like;
(8) say or imply that we approved, reviewed or endorsed your methods, posts or materials;
(9) infringe others' rights or otherwise post anything unlawful.
6. No aggressive solicitation
When referring, you must not do any of the following. Respect each person's wishes, and stop at once when someone declines or asks you to stop.
(1) use high-pressure tactics, such as pushing for an immediate decision or not letting a person leave or end the conversation;
(2) contact someone again after they declined or asked you not to contact them;
(3) visit a home or workplace uninvited to sell;
(4) use friendship, romance or family relationships to push a purchase;
(5) target minors, elderly people or people in a vulnerable situation, or take advantage of someone's lack of knowledge, illness or hardship;
(6) create false urgency or scarcity ("today only", "only a few spots left" and so on when untrue);
(7) tell people to borrow money, take out a consumer loan or use a credit card cash advance to buy (you may describe the payment methods the Reseller offers on the site, such as card payment or installments);
(8) hold seminars, events or sales meetings in our name, or present your own gathering as official;
(9) apply, pay or buy on someone else's behalf.
The explained-sale link rule in section 3-2 also applies.
7. Other prohibited acts
You must not:
(1) earn rewards on purchases by yourself or by accounts you actually control;
(2) send spam, unauthorized bulk messages or untargeted direct messages;
(3) try to obtain rewards by faking referral records, such as fake sign-ups, fraudulent clicks, or tampering with cookies (cookie stuffing);
(4) offer money, gifts, cashback, a share of your reward or other incentives to get people to click, sign up or buy;
(5) post your Handoff link or code on coupon, deal, cashback or rebate sites;
(6) register or use domain names, social media handles, app names or ad accounts that contain our names or marks or are confusingly similar to them, including misspellings (typosquatting);
(7) use adware, toolbars, browser extensions, pop-ups or pop-unders, or software that installs without clear consent;
(8) load our pages in hidden iframes or force clicks;
(9) use bots, scripts or other automated means to create visits, clicks, sign-ups or messages;
(10) use links that hide where they lead, or misleading redirects;
(11) contact our customers about refunds, cancellations or chargebacks, or urge people considering an application or customers who have bought not to cancel;
(12) send emails, make calls or send text messages that violate anti-spam or telemarketing laws, such as the CAN-SPAM Act and the TCPA in the United States, or Japan's Act on Regulation of Transmission of Specified Electronic Mail;
(13) collect or use personal data in violation of privacy laws, such as the GDPR or Japan's Act on the Protection of Personal Information, including without required notice or consent;
(14) do anything the Terms of Service prohibit, such as publishing class content.
8. Compliance with laws
You must follow all laws that apply where you live and where you promote. These include Japan's rules on stealth marketing under the Act against Unjustifiable Premiums and Misleading Representations and, in the United States, the FTC Act and the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (the Endorsement Guides).
The "#Promotion" label in section 4 is the minimum. If the law where you post requires more (for example, a clear statement that you earn a reward), you must do that too. You must also follow the rules of each platform you use, including its paid partnership or branded content tools.
9. Our names and marks
The names, logos and other marks of the Operator, the Reseller, the Service and the classes belong to us or our licensors.
We give you a limited, non-exclusive, non-transferable permission to use them only to promote the Handoff Program, and only in the ways and with the materials we allow. We may revoke this permission at any time.
You must not register domain names, social media handles, app names or ad accounts that contain our names or marks, or use them as search ad keywords. If you have registered any, you must transfer them to us or close them when we ask.
10. What earns a reward, and the rate
Your reward is the amount the customer paid multiplied by the split rate set by the Operator. The current rate is shown on the Handoff Program page and on your dashboard. A change of rate applies to orders made after the change; sales already made keep the rate in effect at the time.
Referrals are tied to the account. A customer who registers through your referral stays linked to you, and all of that customer's future purchases earn you a reward, whatever the class (lifetime commission). This does not apply to sales after you stop being a Handoffer or agent, while your status is suspended, or after it is revoked (sections 21 and 22).
The program has one level only. You earn only from purchases by customers you referred directly. You never receive rewards from other Handoffers' referrals, and there is no reward for recruiting Handoffers.
11. Referral discount
Customers who register through a Handoff link get the discount shown on the application page (currently 5%) automatically, on their first purchase only. The discount is taken from the whole price, and rewards are calculated on the amount after the discount. Handoffers may not promise any other discount.
12. Referral records
We record referrals with our own systems. Only referrals our systems record can earn a reward. We decide, in our sole discretion and based on our records, whether a purchase is attributed to you. Our records are final, except for a manifest error.
No reward is due for a purchase our systems did not record, for example because cookies were blocked, the customer registered on another device or browser, or the link was altered.
If you believe a reward or payout is wrong, tell us through Contact within 30 days after the statement for that payout is issued (or, if nothing was paid, within 30 days after the payout date). Claims not raised within that period are waived.
13. Confirmation
A reward becomes "confirmed" 14 days after the customer's payment. Until then it is "pending". If a customer asks to cancel before confirmation, the reward is not confirmed until the request is resolved. Your own purchases do not earn a reward.
14. Payment
Rewards are closed at the end of each month and paid together in SOL (Solana) to the wallet you registered on the last day of the following month (the payout date). Each payout covers rewards earned by the end of the previous month and confirmed by the payout date. If your confirmed total is below the minimum payout ($100.00), no wallet is registered, the registered wallet cannot be used yet, or the total is zero or less, that payout is skipped and carried over to the next one. We email you when a payout is sent.
For security, a wallet you newly register or change cannot be used for payouts until the period shown on your dashboard has passed.
Amounts shown in US dollars, including the minimum payout, are for reference. For payouts in a crypto asset, dollar amounts are converted at the rate shown on your dashboard.
Payouts that do not arrive for reasons on the Handoffer's side, such as a wrong wallet address, are not resent unless we are at fault.
15. Refunds, cancellations and fraud
If a customer is refunded, files a chargeback, or the order is cancelled, the related reward is reversed. Rewards that were already paid are deducted from later payouts. If the deduction makes the total negative, it is carried over to later payouts (section 17).
Rewards obtained by improper means, or through posts or acts that violate these Terms, are forfeited and cancelled, and you must repay any amount already paid.
16. Taxes, fees, verification and crypto risk
Rewards are paid gross, with no withholding unless the law requires it. Calculating, reporting and paying all taxes on rewards (income tax, consumption tax, VAT, self-employment tax and so on) is the responsibility of the recipient. The Operator and the Reseller do not give tax advice.
Before paying, we may ask you for tax forms (for example, IRS Form W-9 or W-8BEN) and for identity verification. We may withhold payouts until you provide them, and we may withhold, deduct or report amounts where the law requires.
A transfer fee of 1% of the amount sent, including network fees, is deducted from each payout. Fees charged by your receiving exchange or wallet are yours.
Crypto asset prices can change quickly. You bear the risk of price changes after a reward is calculated, and the risks of your wallet, exchange and network (such as lost keys, an exchange failure or a network outage). A US dollar figure is only a reference.
For your tax filing, you can download a statement as CSV for any period from the dashboard.
17. Withholding, set-off and repayment
We may withhold or suspend payouts while we investigate a suspected violation, fraud or chargeback, or an inquiry from an authority, for as long as reasonably needed. We will tell you when we do. If we find no problem, we pay the withheld amount with the next payout.
We may set off any amount you owe us (reversed rewards, rewards to be repaid, amounts under section 23 and so on) against any amount we owe you.
A negative balance is normally carried over to later payouts. If it is unlikely to be cleared that way (for example, because you have left, your status has ended, or the amount comes from fraud or a violation), you must pay it within 14 days after our demand.
18. Complaints caused by a Handoffer
If a customer, a prospective customer, a platform or an authority complains or asks about your statements or conduct:
(1) you must respond and cooperate with us promptly and in good faith, at your own cost, including by giving us the facts and records we ask for;
(2) we may, at our discretion, cancel the customer's order or give a refund to resolve it. The related rewards are reversed (section 15). Refunds, chargebacks and the reasonable costs we incur in handling the complaint (including responding to authorities and reasonable attorneys' fees) may be offset against your rewards (section 17) to the extent the complaint arises from your statements or conduct, and are covered by section 23 (indemnity);
(3) we may suspend your status and withhold payouts immediately while we investigate. If we find a violation, we may revoke your status, and rewards that are not yet confirmed are forfeited (section 21);
(4) we may tell the customer, the platform or the authority that you are not our agent, and share the facts needed to resolve the complaint (such as your display name, the posts or messages concerned, and the related referral records).
19. Compliance checks
When we ask, you must promptly (within 7 days unless we agree otherwise) give us evidence that you follow these Terms, such as screenshots, links to your posts, where and how you promote, and information about ad accounts or campaigns that mention us.
If you do not, we may withhold payouts until you do, and we may suspend or revoke your status.
20. Information and confidentiality
We do not give Handoffers the contact details or other personal information of the customers they referred.
You must not disclose to third parties non-public information you learn through the Handoff Program. This duty continues after you leave.
21. Suspension and termination
We may suspend or revoke your status, in whole or in part, immediately and without prior notice, if you violate these Terms or the Terms of Service, if you give false information, or if we reasonably believe your activity risks harming our reputation or exposing us to legal liability or action by an authority. We may also ask you to delete or correct posts, withhold payouts, and cancel rewards related to the violation.
We may also end your status for any reason by giving 30 days' notice. In that case, rewards for sales made before the end are paid under these Terms once confirmed.
If we revoke your status for a violation, rewards that are not yet confirmed are forfeited, and rewards related to the violation are cancelled (section 15).
Sales made while you are suspended or after revocation earn no reward. You must immediately stop using your Handoff link, code and QR code and our names and marks, and delete or correct posts as we ask.
22. Leaving, and ending the program
If you want to stop being a Handoffer or agent, tell us through Contact. Rewards booked before you leave are paid as usual. Payments that arrive after you leave (renewals, installments and so on) and new orders after you leave go to the Reseller you belonged to (to the Operator only if that Reseller is not active either).
We may end all or part of the Handoff Program by giving 30 days' notice. Rewards confirmed before the end are paid under these Terms.
23. Indemnity
You will defend, indemnify and hold harmless the Operator, the Reseller and their officers, directors, employees and agents from and against all claims, demands, damages, losses, fines, penalties, costs and expenses (including reasonable attorneys' fees and the costs of responding to inquiries from authorities) arising out of or relating to: (1) your posts, content or promotion; (2) your conduct; (3) your breach of these Terms; or (4) your violation of any law or third-party right.
We may choose to control the defense of any such claim, and you must cooperate. You must not settle any claim that affects us without our written consent.
24. Disclaimers
THE HANDOFF PROGRAM, HANDOFF LINKS AND OUR REFERRAL TRACKING ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
We do not promise any reward or income. The amount of rewards depends on the results of your referrals. We do not promise that the site or tracking will be uninterrupted or error-free, or that every referral will be recorded.
This does not affect our obligation to pay rewards that our systems recorded and that are confirmed under these Terms.
25. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
(1) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL;
(2) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE HANDOFF PROGRAM IS LIMITED TO THE REWARDS WE PAID YOU IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to our obligation to pay confirmed rewards, or to liability that cannot be limited or excluded under applicable law, such as liability for fraud, gross negligence or willful misconduct.
26. Changes to the program and these Terms
We may change the program (reward rates, payment methods, minimum payout and so on) and these Terms. We give notice of the change and its effective date by posting on this page, by email to your registered address, or both.
Changes unfavorable to Handoffers take effect no earlier than 14 days after notice, unless a law or an authority requires a change sooner. Other changes take effect on the date stated in the notice.
If you continue to take part after a change takes effect, you accept it. If you do not agree, you may leave under section 22 before it takes effect. Sales already made keep the conditions in effect at the time of the sale.
27. Governing law and disputes (arbitration)
These Terms, and any dispute arising out of or relating to them or the Handoff Program, are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. For the Handoff Program, this section applies instead of the governing law and jurisdiction section of the Terms of Service.
Any dispute or claim between you and us arising out of or relating to these Terms or the Handoff Program will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration is Wilmington, Delaware. Hearings will be held online or by video wherever possible, in English, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section. Judgment on the award may be entered in any court with jurisdiction. Each party bears its own attorneys' fees and costs, except as the arbitrator awards under the AAA rules or applicable law. AAA fees are allocated as its rules provide.
YOU AND WE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person or award relief to anyone other than the individual party. IF ANY DISPUTE IS HEARD IN COURT, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.
Notwithstanding the above, the Operator and the Reseller may seek an injunction or other interim or equitable relief in any court of competent jurisdiction to protect their names, marks or confidential information, or to stop prohibited promotion.
To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.
If the class action waiver is found unenforceable for a claim, that claim will be heard only in the state or federal courts located in Delaware, not in arbitration. Those courts also have exclusive jurisdiction over any matter not subject to arbitration, and you consent to their jurisdiction.
28. Sanctions, anti-corruption and antisocial forces
You represent and promise that:
(1) you are not a target of sanctions of the United States (including the OFAC SDN list), the United Nations, the European Union, the United Kingdom or Japan, nor owned or controlled by such a person, and you are not located or ordinarily resident in a country or region subject to comprehensive sanctions;
(2) you will not offer, give or accept bribes or other improper payments in connection with the Handoff Program, and you will follow anti-corruption laws such as the U.S. Foreign Corrupt Practices Act;
(3) you are not an organized crime group, a member of one, or a similar person ("antisocial forces"), and you have no involvement with antisocial forces.
If any of these is untrue or breached, we may revoke your status immediately, and section 21 applies. We will not make any payout that would violate sanctions laws.
29. General
Assignment: You may not assign or transfer your rights or obligations under these Terms. We may assign ours, without your consent, to an affiliate or to a successor in a merger, acquisition or transfer of business.
Entire agreement: These Terms, together with the Terms of Service and the Privacy Policy, are the entire agreement about the Handoff Program and replace earlier versions and understandings.
Severability: If any part of these Terms is held invalid or unenforceable, that part is enforced to the maximum extent allowed and the rest remains in effect.
No waiver: Our failure or delay in enforcing a right is not a waiver of it.
Survival: Sections that by their nature should continue (sections 12, 15 to 20, 23 to 25 and 27 to 29) survive after you leave or your status ends.
Notices: We send notices by email to your registered address or by posting on the site or dashboard. Email notices are treated as received when sent. Send notices to us through Contact.
Electronic acceptance: Your electronic consent has the same effect as a signature.
Language: These Terms are written in English. The Japanese version is a translation for convenience. If they differ, the English version prevails.
